Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Agaciro Group LLC ("Agaciro Group," "we," "our," or "us") website located at agacirogroup.com (the "Site") and the enterprise technology consulting services, including but not limited to Enterprise Architecture, IT/OT Integration, Strategic Consulting, and Enterprise Infrastructure Monitoring (collectively, the "Services").

1. Acceptance of Terms. By accessing the Site or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, you must not access the Site or use the Services.

2. Services. All Services are governed by a separate Statement of Work, Master Services Agreement, or engagement letter executed between Agaciro Group and the client. These Terms do not supersede any provisions set forth in such executed agreements.

3. Intellectual Property. All content, materials, methodologies, frameworks, tools, and deliverables created by Agaciro Group in the course of providing Services ("Work Product") remain the intellectual property of Agaciro Group unless otherwise expressly agreed in writing. Client-provided data, confidential information, and materials remain the sole property of the Client. Upon full payment, Agaciro Group grants Client a non-exclusive, perpetual, royalty-free license to use the Work Product for Client's internal business purposes.

4. Confidentiality. Both parties agree to maintain the confidentiality of proprietary or non-public information disclosed during the course of the engagement. Neither party shall disclose such information to third parties without prior written consent, except as required by applicable law or regulatory authority.

5. Limitation of Liability. To the fullest extent permitted by applicable law, Agaciro Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Site or Services. Agaciro Group's total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the fees paid by Client to Agaciro Group in the twelve (12) months preceding the claim.

6. Disclaimer of Warranties. The Site and Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Agaciro Group does not warrant that the Site will be uninterrupted, secure, or error-free.

7. Governing Law and Dispute Resolution. These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall first be resolved through good-faith negotiation between the parties. If negotiation fails, the dispute shall be submitted to binding arbitration in Jefferson County, Kentucky, in accordance with the rules of the American Arbitration Association.

8. Modifications. Agaciro Group reserves the right to modify or replace these Terms at any time. Material changes will be communicated by posting the updated Terms on the Site with a revised effective date. Continued use of the Site or Services after any such changes constitutes your acceptance of the revised Terms.

Agaciro Group LLC ("Agaciro Group," "we," "our," or "us") is committed to protecting the privacy and security of your personal information.
